Terms & Conditions

Everstore Gold Partners, Inc.

These Terms & Conditions ("Terms") are a legal agreement between you ("Customer," "you" or "your") and Everstore Gold Partners, Inc. ("Everstore," "we," "us" or "our"). They govern your access to and use of www.everstore.com and any Everstore-affiliated website that displays these Terms (the "Website"), and all content, functionality and services offered on or through the Website or otherwise by Everstore, including purchasing, sales-facilitation and consulting services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING THE WEBSITE OR USING THE SERVICES. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY, EXCLUSIONS AND INDEMNITIES.

By accessing the Website or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms. If you accept these Terms on behalf of a Legal Person, you represent that you have authority to bind it, and "Customer," "you" and "your" refer to that Legal Person. If you lack that authority, do not agree with these Terms in full, or any representation you make is untrue, you may not use the Website or the Services and must stop accessing them immediately.

If you have questions about these Terms, contact us at inquiries@everstore.com.

1. Everstore's Role

1.1 Purchasing agent and consultant. Everstore provides consulting services and arranges the purchase and sale of Precious Metals on behalf of its customers. Everstore is not a precious-metals dealer, mint, refiner, depository, custodian, carrier or insurer.

1.2 Third-Party Providers. Precious Metals are sold to, or bought from, you by an independent dealer or wholesaler (a "Supplier"). Transport, storage and insurance are provided by independent companies such as Loomis, Brink's or other depositories and armored carriers that Everstore may recommend (together with Suppliers, "Third-Party Providers"). Each Third-Party Provider is solely responsible for its own services and may require you to sign its own agreement (a "Provider Agreement").

1.3 No possession or custody. Everstore does not take delivery of, hold, vault, ship or insure Precious Metals, and title to Precious Metals never passes to Everstore. Title and risk of loss pass between you and the Supplier, carrier or depository as set out in the applicable Provider Agreement.

1.4 Recommendations. Everstore may suggest Third-Party Providers, but you choose whether to use them. Everstore does not guarantee the performance, solvency, security or insurance coverage of any Third-Party Provider, and a recommendation is not an endorsement or guarantee.

1.5 Compensation. Everstore may be paid a consulting or service fee by you, and may receive a commission, markup or other compensation from a Supplier or other Third-Party Provider. Everstore will disclose its compensation for a Transaction before you confirm it.

1.6 Conflicts with Provider Agreements. If these Terms conflict with a Provider Agreement about the delivery, storage, insurance, title or custody of Precious Metals, the Provider Agreement controls as between you and that provider.

2. Accounts and Identity Verification

2.1 Eligibility. You must be at least 18 years old and legally able to enter into contracts to use the Services.

2.2 Verification. To comply with anti-money laundering, sanctions and other laws, Everstore and Third-Party Providers may require you to provide identification and other information before a Transaction is accepted, and at any time afterward. We may decline or suspend any Transaction until verification is complete.

2.3 Accurate information. You agree to provide accurate, current and complete information and to update it promptly if it changes. You are responsible for keeping your login credentials confidential and for all activity under your Account.

3. Confirming a Price

3.1 Purchases. A price for a Customer Purchase Transaction is confirmed only when Everstore, on behalf of the Supplier, gives you a Confirmed Trade Confirmation (online, by email, by telephone or in person). Once confirmed, that price applies regardless of later market movements, subject to this Section. Prices shown on the Website before confirmation are indicative only.

3.2 Deposits on large Transactions. The Supplier may require a deposit in cleared funds before confirming a price: up to 5% of the total value for Transactions over $125,000, and up to 25% for Transactions over $1,000,000, or such other amount as stated in the Confirmed Trade Confirmation.

3.3 Sales. The price for a Customer Sale Transaction is confirmed when the shipment is received and processed. The Transaction will be completed at the Supplier's market price on the date when the shipment is received and processed.

3.4 Differences in what is delivered. If the amount or type of Precious Metals received differs from what you confirmed, any shortfall is treated as a cancellation under Section 6. If you send additional products, you will be contacted to confirm a price for them.

4. Payment

4.1 Who you pay. Unless Everstore instructs you otherwise in writing, payment for a Customer Purchase Transaction is made directly to the Supplier named in your Confirmed Trade Confirmation, using the payment instructions it provides. Never send funds based on instructions received by email alone; confirm wire instructions by phone with a known Everstore contact before sending. Everstore is not responsible for funds sent to incorrect or fraudulent instructions.

4.2 Accepted methods. Accepted payment methods are set by the Supplier and typically include bank wire and ACH. Certified checks, cashier's checks and bank drafts, if accepted, may be held for up to fifteen (15) Business Days to clear, or the period specified by the supplier. Payments from anyone other than the named account holder may be refused or require additional verification.

4.3 Deadline. Payment must be received within the number of days specified by the Supplier after the Confirmed Trade Confirmation is issued. If it is not, the Transaction may be cancelled, and you will be liable for market loss and fees under Sections 6 and 8.

4.4 Wires. Wires must reference your Account or Transaction number. International wires may be reduced by correspondent-bank fees that neither Everstore nor the Supplier controls; you are responsible for sending enough to cover them. Only the amount actually received will be credited.

5. Proceeds from Customer Sale Transactions

Proceeds are paid by the Supplier using the settlement method you choose (for example, bank wire or check), less any applicable fees. Once chosen, the settlement method cannot be changed. Settlement typically takes place within seven (7) Business Days after the Supplier receives and processes your Precious Metals, and may take longer due to holidays, market activity or Transaction size. In some cases, the Supplier may elect to settle the transaction in as little as one to two (1-2) business days. Note: Under anti-money-laundering rules, proceeds are paid only to the account holder (for a Legal Person, only in its name).

6. Transaction Cancellations

A submitted Transaction is a binding commitment. If it is cancelled, whether by you or because you did not pay or deliver on time, you are responsible for any market loss and fees.

6.1 Purchases. If the price of the Precious Metals has fallen between confirmation and cancellation, you owe the difference between the original value and the value at cancellation. If the price has risen, a $100 cancellation fee applies.

6.2 Sales. If the price has risen between confirmation and cancellation, you owe the difference between the original value and the value at cancellation. If the price has fallen, a $100 cancellation fee applies. A sale is cancelled automatically if the Precious Metals are not received within number of days specified by the Supplier at the time of the transaction.

6.3 Pricing basis. For cancellations you request, market loss is calculated at the Supplier's live spot price when you submit the request. For cancellations due to your non-payment or non-delivery, it is calculated using the last London Bullion Market Association (LBMA) price published on the day the deadline expires.

6.4 Shortfalls. If a shipment from a sale in 6.2 is short, market loss on the missing pure ounces is calculated using the last LBMA price on the day the shortfall is discovered, and the rules in 6.2 apply.

6.5 Cancelling at your request. You may request cancellation only before payment has been received (or, for a sale, before settlement has been issued in full). The policy in section 6.1 for purchases applies.

7. Unauthorized Transactions

If a Transaction is submitted in your name that you did not authorize, notify Everstore immediately so we can investigate. If we determine it was unauthorized, market loss charges will be waived. For a Legal Person, if you believe a representative acted without authority or fraudulently, notify us immediately; we may cancel the Transaction and freeze related activity, and market loss and fees may still apply.

8. Fees

All amounts are in U.S. Dollars. Fees may be charged by Everstore, by Third-Party Providers, or both; applicable fees will be disclosed before you confirm a Transaction.

9. Delivery, Storage and Insurance

9.1 Provided by third parties. All shipping, armored transport, storage and insurance of Precious Metals are provided by Third-Party Providers under their own Provider Agreements, fees and policies. Everstore may help you choose and arrange these services but does not provide them.

9.2 Storage. If you choose storage, your Precious Metals will be held by an independent depository such as Loomis, Brink's or another provider you select. Stored metals remain your property. Whether they are held segregated or allocated, how you may access or withdraw them, and what insurance applies are governed solely by the depository's agreement, which you should review before storing.

9.3 Insurance. Insurance for purchase, sale, transport or storage is provided by the Supplier, carrier, depository or their insurers, not by Everstore. Coverage limits, exclusions and claims procedures are set by those parties. Everstore does not guarantee that any loss will be covered.

9.4 Large shipments. Orders over $100,000, orders with 100 oz or 400 oz gold bars, or orders over 700 oz in total weight may require armored-vehicle delivery to a business, bank or depository, priced case by case. You are responsible for those costs.

9.5 Packaging. If you ship Precious Metals to a Supplier, you must follow the packaging and labeling instructions provided. Improper packaging or labeling may void insurance coverage.

9.6 Claims. Any claim for loss, damage, delay or shortfall in delivery, transport or storage must be made against the responsible Third-Party Provider under its Provider Agreement. Everstore will reasonably help you communicate with the provider.

9.7 International delivery. Deliveries or returns outside the United States may incur import duties, taxes and VAT, which are your sole responsibility (minimum $50 per shipment where applicable).

9.8 Exchanges. Any exchange of products is subject to the Supplier's exchange policy. Generally, you must request an exchange within three (3) Business Days of receipt, return the product in its original packaging, and pay shipping and insurance. Exchanges are subject to approval and availability, and a higher-premium product may cost more.

10. Consulting Services; No Investment Advice

10.1 Scope. Everstore's consulting services cover general education about Precious Metals, product selection, the purchase and sale process, and options for storage, transport and insurance.

10.2 Not investment, legal or tax advice. Everstore is not a registered investment adviser, broker-dealer, financial planner, attorney or accountant. Information and consulting from Everstore are general and educational. They are not investment, legal, accounting or tax advice, and are not a recommendation that any Transaction is suitable for you. You are solely responsible for your decisions and should consult your own independent advisors.

10.3 No guarantee. Everstore makes no promise or guarantee of any future price, value, return or profit.

11. Market Risk

Please read this section carefully. Buying and selling Precious Metals involves a high degree of risk and is not suitable for everyone. Precious Metals pay no interest or yield. You can lose money through price declines, and gains may not exceed fees, spreads and other costs. All risk of a decline in the market value of your Precious Metals is yours, not Everstore's. If you are unsure whether Precious Metals are suitable for you, consult an independent financial or legal advisor.

12. Taxes and Reporting

The purchase, sale or holding of Precious Metals may have tax consequences for you, and you are responsible for your own tax reporting and payments. Everstore and Third-Party Providers may be required by law to report certain Transactions or information to the IRS or other government authorities (for example, reports of certain sales or of cash payments over $10,000), to keep records, or to respond to subpoenas and lawful requests. Everstore makes no warranty about the tax treatment of any Transaction and is not liable for any taxes you owe.

13. Use of the Website and Materials

13.1 Proprietary Materials. Unless otherwise indicated, all content on the Website, including text, graphics, images, logos, software and the selection and arrangement of them (the "Materials"), is the property of Everstore or its licensors and is protected by U.S. and international copyright, trademark and other intellectual property laws. For any other reproduction, distribution, display or derivative use, contact inquiries@everstore.com for written permission. This permission may be revoked at any time.

13.3 Trademarks. The Everstore logo, the names "Everstore" and "Everstore Gold Partners," and related names and slogans are trademarks of Everstore and may not be used without our prior written permission. Other marks on the Website belong to their respective owners; their mention does not imply endorsement or affiliation.

13.4 Image usage. Photographs credited as "Creative Commons" are used under the applicable license. See creativecommons.org/licenses.

13.5 User Materials. If the Website offers comments, reviews or other interactive features, you are responsible for anything you post ("User Materials"). We may remove any User Materials at any time. By posting, you grant Everstore a nonexclusive, worldwide, royalty-free, perpetual, irrevocable and sublicensable license to use, reproduce, modify, publish and display your User Materials and the name you submit with them, and you represent that you have the right to grant this license.

13.6 Copyright complaints. If you believe content on the Website infringes your copyright, send our Copyright Agent: (a) your physical or electronic signature; (b) a description of the work infringed; (c) where the material is located on the Website; (d) your address, telephone number and email; (e) a statement of your good-faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act for the owner. Send notices to: Copyright Agent, Everstore Gold Partners, Inc., 6800 Fleetwood Road, #404, McLean, VA 22101, or inquiries@everstore.com.

13.7 Links. Links to the Website may not imply Everstore's endorsement or portray Everstore in a false, misleading or derogatory way. The Website may link to third-party sites, including Third-Party Providers' sites. We do not control and are not responsible for their content, products or practices; your use of them is at your own risk and subject to their terms.

13.8 Prohibited activities. You agree not to:

14. Everstore's Rights

Without limiting our other rights, Everstore may, at any time and without prior notice:

Everstore will not be liable to you or any third party for taking any of these actions. Closing your Account with Everstore does not affect Precious Metals held by a Third-Party Provider in your name, which remain subject to that provider's agreement.

15. Technical Issues

15.1 Best efforts. Orders are handled on a best-efforts basis. Everstore is not responsible for delays or failures in transmitting or executing orders caused by communication or system failures or other causes beyond its reasonable control.

15.2 System failure. Internet service and online systems are not 100% reliable and may fail for reasons outside our control.

15.3 Email security. Do not send account numbers, passwords, identification documents or other sensitive information by ordinary email. Internet communications can be intercepted, corrupted, lost or delayed. Everstore is not liable for losses arising from information you send by email or from errors in internet transmission.

15.4 Accuracy of information. The Website may occasionally contain typographical errors, inaccuracies or omissions, including in product descriptions, pricing and availability. We may correct errors and update information at any time without notice, including after an order has been submitted.

15.5 Changes to the Website. We may add, remove or modify features and content of the Website at any time without notice.

16. Disclaimer of Warranties

THE WEBSITE, THE MATERIALS AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. YOU USE THEM AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, EVERSTORE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT. EVERSTORE DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. EVERSTORE MAKES NO WARRANTY REGARDING THE PRODUCTS, AUTHENTICITY, SERVICES, SOLVENCY, SECURITY OR INSURANCE OF ANY THIRD-PARTY PROVIDER; ANY SUCH WARRANTY IS GIVEN ONLY BY THAT PROVIDER.

17. Limitation of Liability

Please read this section carefully.

TO THE FULLEST EXTENT PERMITTED BY LAW, EVERSTORE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS (THE "EVERSTORE RELEASED PARTIES") WILL NOT BE LIABLE TO YOU, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, FOR ANY LOSSES, DAMAGES OR LIABILITIES ARISING FROM OR CONNECTED WITH THESE TERMS, THE WEBSITE OR THE SERVICES, INCLUDING: (A) LOSS OF PROFITS, SALES, BUSINESS, SAVINGS, INVESTMENTS OR REVENUE; (B) LOSS OR CORRUPTION OF DATA; (C) LOSS OF BUSINESS OPPORTUNITY; (D) LOSS OF GOODWILL; (E) ANY LOSS, THEFT, DAMAGE, DELAY OR SHORTFALL OF PRECIOUS METALS WHILE IN THE POSSESSION, CUSTODY OR CONTROL OF ANY THIRD-PARTY PROVIDER, OR ANY ACT, OMISSION, INSOLVENCY OR FAILURE OF A THIRD-PARTY PROVIDER; OR (F) ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT OR PUNITIVE DAMAGES, IN EACH CASE EVEN IF EVERSTORE KNEW SUCH LOSSES WERE POSSIBLE ("EXCLUDED CLAIMS").

TO THE FULLEST EXTENT PERMITTED BY LAW, EVERSTORE'S TOTAL LIABILITY FOR ANY CLAIM NOT EXCLUDED ABOVE WILL NOT EXCEED THE FEES YOU PAID TO EVERSTORE FOR THE TRANSACTION OR SERVICE GIVING RISE TO THE CLAIM.

YOU ACKNOWLEDGE THAT THIS SECTION IS AN ESSENTIAL PART OF THESE TERMS AND THAT EVERSTORE WOULD NOT PROVIDE THE SERVICES WITHOUT IT. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT.

18. Indemnification

You agree to defend, indemnify and hold harmless Everstore and the Everstore Released Parties from and against all claims, liabilities, losses, damages, costs and expenses, including reasonable attorneys' fees, arising from or connected with: (a) your breach of these Terms or any other agreement with Everstore; (b) your use of the Website or the Services, including any User Materials you post; (c) any Excluded Claims; or (d) any illegal act by you.

19. Force Majeure

Everstore is not liable for any failure or delay in performance caused by events beyond its reasonable control, including fire, flood, storm, natural disaster, epidemic, war, terrorism, riot, sabotage, government orders, changes in law, strikes or labor disputes, power or network failures, computer viruses, hardware failures, market suspensions, or the failure of any Third-Party Provider. Where possible, Everstore will use commercially reasonable efforts to reduce the effects on you.

20.1 Joint accounts. For joint accounts, Everstore may act on the instructions of any one named joint account holder, without further inquiry, for any Transaction or matter relating to the account. Everstore is not liable for acting in good faith on such instructions.

20.2 Legal Person accounts. For accounts held by a Legal Person, Everstore may act on the instructions of any individual the Legal Person has named as authorized, without independently verifying that individual's authority, whether the instructions are within that authority or consistent with the Legal Person's governing documents or objectives, or whether they are in its best interests. All such instructions are treated as duly authorized, and Everstore is not liable for any loss resulting from acting on them.

21. Customer Obligations

21.1 Ownership and authority. If you sell Precious Metals through the Services, you warrant that you own them or are authorized by the owner to sell them, that they are free of liens and not stolen, and that you accept these Terms on behalf of anyone else with an interest in them.

21.2 Compliance. You are responsible for complying with all laws that apply to you, including the laws of the place from which you access the Website, and for confirming that buying, selling or storing Precious Metals is lawful for you.

21.3 Account review. You must review your Transaction confirmations and account information and notify Everstore immediately of any error or suspected unauthorized use. Everstore is not liable for losses resulting from your failure to do so.

22. Account Changes

22.1 Insolvency or dissolution. If a receiver, trustee or liquidator is appointed over your property, requests about your Account or Transactions must come from that person, with appropriate documentation.

22.2 Death. On an individual Customer's death, Everstore will require a death certificate and documents establishing the authority of the estate's representative (such as a will, trust documents or letters of administration). Everstore may suspend activity until it receives them and will then follow the representative's instructions. For a joint account, the surviving holder(s) must notify Everstore in writing promptly; Everstore may request documents and restrict activity as needed to protect against tax or legal liability. The estate and surviving holders remain jointly and severally liable for obligations incurred before Everstore received notice.

22.3 Incapacity. On a Customer's incapacity, Everstore will require documentation of the authority of the Customer's agent, guardian or conservator (such as a power of attorney or court order), and may suspend activity until received. For a joint account, the remaining holder(s) must notify Everstore promptly, and the same protective measures and joint liability apply.

22.4 Changes in authorized individuals. If an individual authorized to instruct Everstore for a Legal Person is removed, replaced or dies, Everstore may continue taking instructions from other authorized individuals who can act independently. If that individual was the only one authorized, or their approval was required, Everstore may suspend activity until it receives documentation of a replacement.

22.5 Costs. You (or your estate or co-holders, jointly and severally) agree to pay the reasonable costs Everstore incurs in reviewing and processing these changes, including attorneys' fees.

22.6 Assets at Third-Party Providers. Precious Metals held by a Third-Party Provider are released, transferred or liquidated only under that provider's own procedures and agreement.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms, the Website or the Services shall be brought exclusively in the state courts located in Fairfax County, Virginia, or the United States District Court for the Eastern District of Virginia, and you submit to the personal jurisdiction of those courts.

24. Privacy

Our Privacy Policy, below, explains how we collect, use and share personal information and is part of these Terms.

25. Changes to These Terms

We may revise these Terms at any time by posting the updated version on the Website. Changes take effect when posted and apply to all later access to the Website and use of the Services; the "Last Updated" date shows when they were last changed. We may also notify you by email, through your Account or in another reasonable way. A Transaction confirmed before a change remains governed by the Terms in effect when it was confirmed. If you do not accept a change, you must stop using the Website and the Services.

26. General Provisions

26.1 Binding effect; assignment. These Terms bind you and Everstore and our respective successors, heirs, legal representatives and permitted assigns. You may not assign or transfer your rights or obligations without our prior written consent; any attempt to do so is void. Everstore may assign its rights and obligations to any third party.

26.2 Severability. If any provision is found invalid or unenforceable, it will be limited to the minimum extent necessary, and the rest of these Terms will remain in full effect.

26.3 Waiver. Our failure to enforce any provision is not a waiver of it. No course of dealing or trade practice modifies these Terms. Our rights and remedies are cumulative and in addition to any available at law or in equity. No Everstore employee may waive these Terms orally.

26.4 Interpretation. "Including" and "such as" are not limiting, and "or" is not exclusive. References to a website include any successor website. Headings are for convenience only.

26.5 Third-party rights. Except for the Everstore Released Parties under Sections 17 and 18, no one other than you and Everstore has any right to enforce these Terms.

26.6 Language. These Terms are provided in English only, and the English version controls.

26.7 Notices. We may send you notices by email, by mail, through your Account, or by posting them on the Website. You may send notices to the address in Section 28.

26.8 Entire agreement. These Terms, together with any written agreement between you and Everstore for specific Services and any Confirmed Trade Confirmation, are the entire agreement between you and Everstore on their subject matter and replace all prior understandings. Provider Agreements govern your relationship with Third-Party Providers as described in Section 1.6.
